XCF Global, Inc. has entered into a definitive Business Combination Agreement with DevvStream Corp. and Southern Energy Renewables Inc. to create an integrated, next-generation energy platform spanning sustainable aviation fuel (SAF), green methanol, renewable fuels, and environmental-asset monetization. The combined entity is designed as a scalable, multi-asset platform with global reach—potentially incorporating small modular nuclear reactors to power fuel production facilities and AI data centers—and aims to compete internationally without relying on government subsidies. Under the structure, XCF would acquire DevvStream and Southern as wholly owned subsidiaries, with post-transaction ownership expected at roughly 66.7% XCF, 23.3% Southern, and 10.0% DevvStream shareholders, subject to customary closing conditions.
